LADER Platform — Terms and Conditions

1. Introduction
These Terms and Conditions (Terms) govern your access to and use of the LADER technology platform (LADER or the Platform), owned and operated by NPTournaments Pty Ltd (ABN: 71 678 124 822) (we, us, our).
LADER is a cloud-based sports administration and tournament management platform that enables sports clubs, associations, and other organisations to manage members, events, bookings, payments, communications, and competition data.
These Terms apply to two categories of users:
Club Accounts — organisations and individuals who register a club or association account and subscribe to use the Platform to create and manage events, competitions, and memberships (Club or Club Administrator).
End Users — players, participants, referees, officials, and other individuals who register their own free account on LADER to access events, competitions, and features available on the Platform (End User).
Part A of these Terms applies to Club Accounts. Part B applies to End Users. Sections 1, 2, and Parts C and D apply to all users.
By registering for an account, subscribing to the Platform, or otherwise using LADER, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
2. Definitions

Intellectual Property | All intellectual property rights including copyright, trademarks, patents, trade secrets, designs, software, and know-how. |
Platform | The LADER software platform, including all websites, applications, APIs, and related services operated by NPTournaments Pty Ltd. |
Platform Data | All data, content, records, results, statistics, and information entered into or generated by the Platform by any user. |
Subscription | A paid monthly plan providing a Club with access to a defined tier of Platform features. |
Subscription Fee | The monthly fee payable by a Club for access to its selected subscription tier, as set out on the LADER pricing page at www.lader.sport. |
Terms | These Terms and Conditions, as amended from time to time. |
We / Us / Our | NPTournaments Pty Ltd (ABN: 71 678 124 822). |
PART A — CLUB ACCOUNT TERMS
3. Club Account Registration
To access the Platform as a Club, you must register an account and provide accurate, current, and complete information about your organisation. You represent and warrant that:
you have authority to bind the club or organisation to these Terms;
all registration information you provide is accurate and will be kept up to date;
you will maintain the confidentiality of your account credentials and are responsible for all activity that occurs under your account; and
you will notify us immediately at info@lader.sport if you become aware of any unauthorised access to your account.
We reserve the right to refuse registration or suspend an account where we reasonably believe that the information provided is false or misleading, or that the account is being used in breach of these Terms.
4. Authorised Users and Club Responsibilities
As a Club Administrator, you are responsible for managing access to your Club account. This includes:
determining which individuals within your organisation have access to the Club account and at what permission level;
ensuring that all individuals who access the Platform through your account comply with these Terms and all applicable laws;
ensuring that personal information about your members, participants, and officials is collected and provided to LADER lawfully and with appropriate authority; and
the accuracy and completeness of all data you enter or import into the Platform.
You acknowledge that End Users who interact with your events and competitions through the Platform do so under their own independent accounts and are subject to the End User Terms in Part B. Where practicable, you should make your members and participants aware of these Terms and LADER's Privacy Policy.
5. Free Trial
New Club accounts are eligible for a 2-month free trial of a paid subscription tier. The following conditions apply to the Free Trial:
The Free Trial begins on the date your Club account is activated.
No payment is required during the Free Trial period.
At the end of the Free Trial, your subscription will automatically convert to a paid monthly subscription at the applicable Subscription Fee for your selected tier, unless you cancel your account before the Free Trial expires.
We will send you a reminder before the Free Trial ends.
Each organisation is entitled to one Free Trial only. We reserve the right to decline or cancel a Free Trial if we reasonably determine that a Club is registering multiple accounts to obtain additional free periods.
We reserve the right to modify or discontinue the Free Trial offering at any time for new registrations, without affecting Free Trials already in progress.
6. Subscriptions and Billing
6.1 Subscription Tiers
LADER offers multiple subscription tiers with different features and capabilities. Current tier details and pricing are set out on our pricing page at www.lader.sport. We reserve the right to update pricing on reasonable notice in accordance with clause 6.4.
6.2 Billing
Subscriptions are billed monthly in advance. By subscribing, you authorise us (via our payment processor, Stripe) to charge the applicable Subscription Fee to your nominated payment method on a recurring monthly basis. You are responsible for ensuring your payment details remain current and that sufficient funds are available.
6.3 Failed Payments
If a payment fails, we will notify you and attempt to process the payment again. If payment remains outstanding after reasonable attempts, we may suspend your Club account until the outstanding amount is paid. We will provide reasonable notice before any suspension. Continued non-payment may result in termination of your account in accordance with clause 11.
6.4 Price Changes
We may change Subscription Fees from time to time. We will give you at least 30 days' written notice of any price increase before it takes effect. Price increases will apply from your next billing cycle following the notice period. If you do not accept the new pricing, you may cancel your subscription before the price change takes effect in accordance with clause 7.
6.5 Taxes
All Subscription Fees are stated inclusive of GST where applicable. You are responsible for any other taxes, levies, or duties that may apply in your jurisdiction.
7. Cancellation
You may cancel your Club subscription at any time through your account settings or by contacting us at info@lader.sport.
Effect of cancellation: Cancellation takes effect at the end of your current monthly billing period. You will retain access to the Platform until that date.
No refunds: We do not provide refunds or credits for any partial subscription period. If you cancel mid-cycle, you will continue to have access until the end of that billing period and will not be charged again.
Data export: Following cancellation, you will have 30 days to export your Club's data using the Platform's export tools. After this period, we may delete your account data in accordance with our Privacy Policy.
Reactivation: You may reactivate your account at any time. A new subscription will begin on the date of reactivation and a new billing cycle will commence. A reactivated account is not eligible for another Free Trial.
PART B — END USER TERMS
8. End User Access
End Users — including players, participants, referees, and officials — may register their own free account on LADER to access events, competitions, results, rankings, and other Platform features. There is no subscription fee for End Users.
As an End User, you acknowledge that:
your LADER account is personal to you and you are responsible for all activity under it;
access to specific events or competitions may require you to be registered or invited by the Club running that event;
certain personal information (such as your name, results, and rankings) may be visible to other Platform users and the public in connection with events and competitions you participate in; and
you are bound by these Terms, including Part C (Platform Use) and Part D (General Terms), in relation to your use of the Platform.
9. End User Account
When registering as an End User, you must provide accurate and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at info@lader.sport if you become aware of any unauthorised access to your account.
End Users must not share their login credentials with any other person or access another user's account without authorisation.
We reserve the right to suspend or terminate an End User account where we have reason to believe the Terms have been breached, or where the account is being used fraudulently or in a manner harmful to other users or the Platform.
PART C — PLATFORM USE
10. Licence to Use the Platform
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose — namely, the administration and management of sports clubs, events, memberships, and competitions.
This licence does not permit you to:
copy, modify, adapt, translate, or create derivative works based on the Platform or its underlying software;
reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform;
resell, sublicence, or otherwise make the Platform available to any third party on a commercial basis;
use automated tools, scripts, bots, or scrapers to extract data from the Platform in bulk;
use the Platform in any way that violates applicable law or these Terms; or
remove or obscure any proprietary notices, branding, or attribution on the Platform.
11. Intellectual Property and Platform Data
11.1 LADER's Intellectual Property
All intellectual property in the Platform — including its software, design, features, interfaces, trademarks, logos, and underlying technology — is owned by or licensed to NPTournaments Pty Ltd. Nothing in these Terms transfers any ownership of LADER's intellectual property to you.
11.2 Platform Data Licence
All data, content, records, results, statistics, and other information entered into or generated through the Platform by any user (Platform Data) is owned by NPTournaments Pty Ltd upon entry.
By entering or generating Platform Data, you grant — and confirm you have the right to grant — NPTournaments Pty Ltd a perpetual, irrevocable, worldwide, royalty-free licence to use, store, process, display, aggregate, analyse, and build upon that Platform Data for any purpose, including improving and developing the Platform and its features.
11.3 User Content Warranty
You warrant that any data, content, or information you enter into the Platform:
is accurate to the best of your knowledge;
does not infringe the intellectual property, privacy, or other rights of any third party; and
complies with all applicable laws, including privacy laws, in relation to the personal information of individuals whose data you enter.
12. Payment Processing
Where the Platform is used to collect payments from End Users (such as event registration fees or membership fees), those transactions are processed through Stripe. By using payment collection features within LADER, you agree to Stripe's terms of service (available at stripe.com/terms).
NPTournaments Pty Ltd does not store, hold, or have access to credit card numbers, bank account details, or other sensitive payment credentials. We are not responsible for any loss arising from payment processing failures, errors, or security incidents attributable to Stripe or any other payment provider.
Clubs that use LADER to collect payments from their members remain responsible for their own compliance with applicable consumer protection, refund, and financial services obligations in relation to those collections.
13. Service Availability and Maintenance
We aim to make the Platform available 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted or error-free access. The Platform may be temporarily unavailable due to:
scheduled maintenance (which we will endeavour to carry out during low-usage periods with reasonable advance notice);
unplanned outages, technical failures, or security incidents; or
circumstances beyond our reasonable control.
We will use reasonable endeavours to restore service as quickly as possible following any outage. We are not liable for any loss or damage arising from Platform unavailability, except to the extent required by the Australian Consumer Law.
14. Suspension and Termination by Us
We may suspend or terminate your access to the Platform immediately and without notice if:
you materially breach these Terms and, where the breach is capable of remedy, you fail to remedy it within 14 days of written notice from us;
you are in persistent or repeated breach of these Terms;
you use the Platform fraudulently, unlawfully, or in a manner that poses a security risk to the Platform or other users;
you become insolvent, enter administration, or are wound up; or
we are required to do so by law or court order.
We may also suspend a Club account for non-payment in accordance with clause 6.3.
On termination for any reason, your licence to use the Platform ceases immediately. For Club accounts, the 30-day data export window in clause 7 applies where termination is by cancellation. Where we terminate for breach, we may at our discretion provide or decline a data export window.
PART D — GENERAL TERMS
15. Limitation of Liability
15.1 Exclusion of Consequential Loss
To the maximum extent permitted by law, NPTournaments Pty Ltd is not liable to any user for any indirect, incidental, special, consequential, or punitive loss or damage, including loss of profits, loss of data, loss of revenue, loss of goodwill, or loss of opportunity, arising out of or in connection with your use of or inability to use the Platform, regardless of the cause of action or the theory of liability.
15.2 Cap on Liability
To the maximum extent permitted by law, our total aggregate liability to a Club for any claims arising out of or in connection with these Terms or the Platform (whether in contract, tort, statute, or otherwise) is limited to the total Subscription Fees paid by that Club in the 3 months immediately preceding the event giving rise to the claim. Our total aggregate liability to an End User (who pays no subscription fee) is limited to AUD $100.
15.3 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot lawfully be excluded or limited. Where the Australian Consumer Law applies, our liability for a failure to comply with a consumer guarantee is limited, at our option, to:
re-supplying the service; or
paying the cost of having the service re-supplied.
16. Indemnity
You agree to indemnify, defend, and hold harmless NPTournaments Pty Ltd, its officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
your breach of these Terms;
your unlawful or negligent use of the Platform;
any data or content you enter into the Platform that infringes the rights of any third party or violates any applicable law; or
any claim brought by an End User or third party arising from the data or content you entered into the Platform or your management of events and competition records on the Platform.
17. Privacy
Your use of the Platform is also governed by our Privacy Policy, available at www.lader.sport/privacy. By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.
Club Administrators are responsible for ensuring that the personal information of their members and End Users is provided to LADER lawfully and in accordance with applicable privacy laws. Clubs are encouraged to make their members aware of LADER's Privacy Policy.
18. Changes to These Terms
We may update these Terms from time to time. We will notify registered Club Administrators of material changes via email and/or an in-Platform notice at least 14 days before the changes take effect.
Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of those Terms. If you do not accept updated Terms, you may cancel your subscription in accordance with clause 7 before the changes take effect.
Changes to pricing are governed by clause 6.4 and are subject to a 30-day notice period.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Victoria, Australia. Each party submits to the exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia for any dispute arising out of or in connection with these Terms.
Before commencing any legal proceedings, the parties agree to attempt to resolve any dispute in good faith through direct negotiation. If a dispute is not resolved within 30 days of one party notifying the other of the dispute in writing, either party may pursue available legal remedies.
Nothing in this clause prevents either party from seeking urgent injunctive or declaratory relief from a court where necessary to protect its interests.
20. General Provisions
20.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and NPTournaments Pty Ltd with respect to the Platform and supersede all prior agreements, representations, and understandings.
20.2 Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
20.3 Waiver
Our failure to enforce any provision of these Terms on any occasion does not constitute a waiver of our right to enforce that provision in the future.
20.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms or our rights and obligations under them in connection with a merger, acquisition, or sale of assets, subject to reasonable notice to you.
20.5 Force Majeure
We are not liable for any failure or delay in performance of our obligations under these Terms caused by events beyond our reasonable control, including natural disasters, pandemics, government actions, cyberattacks, or failures of third-party infrastructure providers.
20.6 Notices
Notices from us to you will be sent to the email address associated with your account. Notices from you to us must be sent to info@lader.sport or by post to 29 White St, South Melbourne VIC 3205, Australia. Notices sent by email are deemed received on the next business day after sending.
